Welcome, and thank you for your interest in Typevia (“Typevia,” “we,” or “us”), makers of the Typevia collaborative LaTeX editing platform. These Terms of Service (“Terms”) govern your access to and use of Typevia’s software, platform, APIs, Documentation, and related tools, including the website typevia.com, and all related software made available by Typevia to write, compile, and collaborate on LaTeX documents (collectively, the “Service”). By using the Service, you agree to these Terms.
Please also read our Privacy Policy, which explains how we collect, use, disclose, and process personal data.
If you are using the Service as part of your work for a company or organization that has a Master Services Agreement (“MSA”) with Typevia, your use of the Service is governed by that MSA.
If you are entering into these Terms on behalf of an entity, you represent that you have the legal authority to bind that entity.
1.1 Provision of Access. Typevia is an applied research company working on building a collaborative LaTeX document editor. Subject to these Terms, Typevia grants you a non-transferable, non-exclusive, revocable, limited license to use and access the Service solely for your own personal or internal business purposes.
1.2 Eligibility. You must be at least 16 years old to use the Service. By agreeing to these Terms, you represent and warrant that you are at least 16 years of age. If you are under 18, you represent that your legal guardian has reviewed and agreed to these Terms.
1.3 Modifications to the Service. Typevia reserves the right to modify, suspend, or discontinue the Service (or any part or content thereof) at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.
2.1 Account Creation. To access certain features of the Service, you must register for an account. When you register, you agree to provide accurate, current, and complete information and to keep this information up to date.
2.2 Account Security. You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.
2.3 Account Termination. You may delete your account at any time by following the instructions on the Service. We may also suspend or terminate your account in accordance with Section 7.
3.1 Paid Features and Fees. Some features of the Service are available only for a fee. Before any charge is made, you will have a chance to review and confirm the fees that apply to your selected plan. Unless explicitly stated otherwise in these Terms or an applicable order form, all fees are quoted and charged in U.S. Dollars and are non-refundable except where required by applicable law or as expressly provided in our Refund Policy. Where you have signed a separate order form with Typevia, the pricing and payment terms in that order form take precedence over this Section 3 for the items it covers.
3.2 Subscription Service. Certain paid plans are offered as recurring subscriptions ("Subscription Service"). The date on which you first purchase a Subscription Service is your "Subscription Billing Date." Your subscription begins on the Subscription Billing Date and continues for the billing period you selected at checkout (the "Initial Subscription Period"). It will then automatically renew for successive periods of the same length (each, together with the Initial Subscription Period, a "Subscription Period") until you cancel it or Typevia terminates it. By activating a Subscription Service, you authorize Typevia and its third-party payment processor to charge, on a going-forward basis until cancellation, all amounts that come due. The recurring fee for each Subscription Period (the "Subscription Fee") is displayed on our pricing page or otherwise within the Service at the time of purchase. Your payment method will be charged automatically on the Subscription Billing Date and on each subsequent renewal date for the Subscription Fee and any applicable taxes. You may cancel at any time from your account billing settings or by emailing [email protected]. YOUR CANCELLATION MUST BE RECEIVED BEFORE THE NEXT RENEWAL DATE TO AVOID BEING CHARGED FOR THE FOLLOWING SUBSCRIPTION PERIOD. Cancellation takes effect at the end of the then-current Subscription Period, and no partial refunds are issued for the unused portion of that period except as set out in our Refund Policy.
3.3 Refunds. Except as expressly set out in our Refund Policy or where required by applicable law, paid subscription fees are non-refundable. Typevia may consider refund requests on a case-by-case basis at its sole discretion. For details on eligibility, timeframes, and how to request a refund, please see our Refund Policy at /refund-policy.
4.1 Ownership. The Service and its original content (excluding content provided by users), features, and functionality are and will remain the exclusive property of Typevia and its licensors. The Service is protected by copyright, trademark, and other laws.
4.2 Feedback. If you provide Typevia with any feedback or suggestions regarding the Service ("Feedback"), you hereby assign to Typevia all rights in such Feedback and agree that Typevia shall have the right to use and fully exploit such Feedback in any manner it deems appropriate.
5.1 Your Content. You retain all rights to any content you submit, post, or display on or through the Service ("User Content"). By submitting User Content, you grant Typevia a worldwide, non-exclusive, royalty-free license to use, reproduce, and display such content solely for the purpose of operating and providing the Service to you.
5.2 Content Responsibility. You are solely responsible for your User Content and the consequences of posting or publishing it. You represent and warrant that you own or have the necessary rights to your User Content and that your User Content does not violate any third party's rights.
5.3 Data Privacy. Typevia does not use your User Content, including LaTeX documents and project files, to train machine learning models. Your documents remain private and are only accessible to you and collaborators you explicitly invite.
6.1 Restrictions. You agree not to: (a) use the Service for any unlawful purpose; (b) attempt to gain unauthorized access to the Service or its related systems; (c) interfere with or disrupt the integrity or performance of the Service; (d) upload or transmit viruses, worms, or other malicious code; (e) use any robot, spider, or other automated device to access the Service; (f) impersonate any person or entity; or (g) sell, resell, or commercially exploit any portion of the Service without prior written consent.
7.1 Termination by You. You may terminate your account at any time by deleting your account through the Service settings. Upon termination, your right to use the Service will immediately cease.
7.2 Termination by Typevia. We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease.
7.3 Effect of Termination. Upon termination, we may delete your account and all associated data, including your User Content. We recommend exporting your data before terminating your account. Provisions of these Terms that by their nature should survive termination shall survive.
8.1 "As Is" Basis. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TYPEVIA EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
8.2 No Guarantee. Typevia makes no warranty that the Service will meet your requirements, be available on an uninterrupted, timely, secure, or error-free basis, or that the results obtained from the Service will be accurate or reliable.
9.1 Limitation. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TYPEVIA, ITS AFFILIATES, AGENTS, DIRECTORS, EMPLOYEES, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICE.
9.2 Cap on Liability. In no event shall Typevia's total liability to you for all damages exceed the amount of one hundred dollars ($100.00) or the total amount you have paid to Typevia in the six (6) months preceding the claim, whichever is greater.
10.1 Governing Law. These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
10.2 Changes to Terms. We reserve the right to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
10.3 Entire Agreement. These Terms constitute the entire agreement between you and Typevia regarding the Service and supersede all prior agreements, proposals, or representations, written or oral, concerning its subject matter.
10.4 Contact. If you have any questions about these Terms, please contact us at [email protected].
